This limited warranty gives you specific legal rights and you may also have other rights, which vary based on jurisdiction.

We limit the duration and remedies of all implied warranties, including without limitation the warranties of merchantability and fitness for a particular purpose, to the duration of this express limited warranty. Some jurisdictions do not allow limitations on how long an implied warranty lasts, so the above limitation may not apply to you.

Our responsibility for defective products is limited to the express remedies described below in this Certificate of Limited Warranty.

Section 01

Scope of Limited Warranty

§ 1.1

This limited Warranty ("Warranty") is issued by Black Locust Lumber, LLC ("Black Locust Lumber") and applies to all Black Locust lumber products sold directly by Black Locust Lumber, including decking, dimensional lumber, fencing posts, picket slats, and related wood products.

§ 1.2

This Warranty is exclusive to the original purchaser of Black Locust Lumber products, the original owner of any structure on which the products are installed, and the next legal owner of such structure. This Warranty is non-transferable and non-assignable to any other person or entity.

§ 1.3

Black Locust Lumber warrants that its products shall remain free of material damage caused by fungal rot or decay (as defined in Section 2 below) from the date of delivery as stated on the invoice, and for the periods shown on the coverage table above.

Section 02

Definition of Material Damage

§ 2.1

For purposes of this Warranty, Black Locust lumber will be considered "materially damaged" only if it is shown that, under ordinary usage conditions, the product has been materially damaged by fungal decay or rot caused by species including Poria placenta, Coniophora puteana, Gloeophyllum trabeum, Coriolus versicolor, Serpula lacrymans, or equivalent fungal species as determined by independent testing; and such damage is sufficient that the product no longer performs its intended structural or functional purpose.

§ 2.2

Surface mold, mildew, algae, surface discoloration, or other organisms that do not compromise structural integrity are expressly excluded from the definition of material damage.

Section 03

Remedy

§ 3.1

In the event of a valid breach of this Warranty, Black Locust Lumber shall, at its sole discretion, either replace, repair, or compensate by payment for any materially damaged product. Any compensation shall be limited solely to the cost of replacement lumber as shown on the original invoice.

§ 3.2

The remedy described in paragraph 3.1 is the sole and exclusive remedy available under this Warranty.

§ 3.3

This Warranty does not cover any costs associated with removal of damaged material, installation of replacement material, remanufacturing, refinishing, recoating, or any consequential or incidental costs of any kind.

Section 04

Exclusions of Remedy and Warranties

§ 4.1

The remedies described above are the sole and exclusive remedies relative to the products hereunder and Black Locust Lumber's entire liability for any breach of this limited warranty. Black Locust Lumber's liability shall under no circumstances exceed the actual amount paid for the defective product as shown on the original invoice.

§ 4.2

In no event will Black Locust Lumber be liable for any incidental, economic, exemplary, special, punitive, or consequential damages, whether direct or indirect, howsoever arising, including but not limited to damage to property, loss of use, or loss of profits.

§ 4.3

Any and all other express or implied warranties, including any (a) warranty of merchantability; (b) warranty of fitness for a particular purpose; or (c) any other warranty not expressly stated herein are hereby disclaimed to the fullest extent permitted by applicable law.

Section 05

Conditions

This Warranty is subject to the following terms and conditions:

§ 5.1

Claims must be submitted in writing to Black Locust Lumber within 30 days of discovery of suspected material damage and prior to beginning any permanent repair. The claim must include: a copy of this Warranty, the original invoice, a written description of the suspected damage, and photographic evidence.

§ 5.2

Black Locust Lumber reserves the right to inspect suspected material damage on-site, on reasonable notice, within 90 days of receiving the claim, and prior to authorizing any repair, replacement, or compensation. From the date damage is discovered, the claimant must take all reasonable steps to prevent further damage.

§ 5.3

All Black Locust Lumber products must be stored, handled, installed, and maintained in strict accordance with Black Locust Lumber's written installation guidelines and all applicable federal, state, or local building codes. Failure to comply with these requirements will void this Warranty.

§ 5.4

Black Locust decking used in exterior applications should be inspected annually. Any fastener issues, surface debris accumulation, or drainage obstructions should be addressed promptly. Failure to maintain the installation may invalidate warranty claims.

§ 5.5

No oil, stain, sealant, or surface coating is required to maintain the natural durability of Black Locust lumber. The application of any coating product is at the owner's sole discretion and does not affect the structural durability warranty herein. However, failure to follow any coating manufacturer's maintenance requirements, once a coating is applied, shall not give rise to any claim under this Warranty.

Section 06

Specific Exclusions

This Warranty does not cover:

§ 6.1

Any damage resulting from improper storage, improper handling, improper installation, failure to follow Black Locust Lumber's written guidelines, unauthorized modification, unauthorized repair, normal wear and tear, or events beyond Black Locust Lumber's reasonable control;

§ 6.2

Any characteristic, property, appearance, or condition other than fungal rot or decay, including but not limited to: checking, cracking, splitting, natural color variation, weathering, silvering, graining, surface texture changes, or patina development;

§ 6.3

Any damage caused by contact with liquids having a pH lower than 3 or higher than 9;

§ 6.4

Any extended immersion in salt water or brackish water beyond normal dock or marine decking applications;

§ 6.5

Any contact or proximity with other wood materials exhibiting active rot, decay, or sustained moisture accumulation;

§ 6.6

Any product subsequently treated, impregnated, chemically modified, or otherwise altered without prior written approval from Black Locust Lumber;

§ 6.7

Damage caused by settlement, structural movement, or movement of materials to which the lumber is attached;

§ 6.8

Damage from acts of God including hurricane, tornado, flood, hail, earthquake, fire, or other severe weather or natural phenomena;

§ 6.9

Any cause other than a manufacturing or material defect directly attributable to Black Locust Lumber.

Section 07

Geographical Coverage

§ 7.1

This Warranty applies to Black Locust Lumber products purchased directly from Black Locust Lumber and installed and/or used anywhere in the United States of America, Canada, Mexico, or the Caribbean.

§ 9.1

Section 10

Dispute Resolution

§ 10.1

All disputes or claims arising out of or relating to this Warranty shall first be subject to good-faith negotiation between the parties.

§ 10.2

If the parties are unable to resolve the dispute through negotiation within thirty (30) days, Black Locust Lumber shall have the right, at its sole discretion, to elect binding arbitration as the dispute resolution forum. Such election must be made within fourteen (14) days following the expiration of the negotiation period.

§ 10.3

Where arbitration is elected, the dispute shall be administered by a mutually agreed arbitration body, conducted in English, with the arbitration seated in [CITY, STATE]. The arbitrators shall award costs and attorneys' fees to the prevailing party as appropriate.

§ 10.4

If Black Locust Lumber does not elect arbitration within the fourteen (14) day period, either party may submit the dispute to courts of competent jurisdiction in the State of [STATE].
